Full Contract Terms

Effective Date: May 4, 2024

This agreement incorporates Rogall + Co.’s Terms & Conditions, available at www.rogall.com/privacy, which Client acknowledges reviewing and accepting.

1. WORK STANDARD

This Service Agreement between Rogall + Co. and the Client is entered into as of the date listed above. All work will be completed in a professional and workmanlike manner according to accepted industry standards.

Project scheduling and completion dates are subject to contractor availability, weather conditions, material availability, and delays beyond Rogall + Co.’s control.

Work areas will be maintained in a clean and orderly condition throughout the project and cleaned upon completion.

2. CUSTOMER RESPONSIBILITY

To ensure safe and efficient completion of services, Client agrees to:

  • Provide safe and reasonable access to all work areas
  • Keep children and pets away from active work zones
  • Remove or protect valuable, fragile, or sensitive items
  • Ensure water access is available where applicable
  • Disable alarms during active work periods if necessary
  • Coordinate with Rogall + Co. regarding storage or staging areas if needed

Failure to complete customer responsibilities may result in delays or additional charges.

3. EXISTING CONDITIONS & UNFORESEEN CONDITIONS

Rogall + Co. is not responsible for pre-existing conditions including but not limited to:

  • Oxidized surfaces
  • Failing paint or stain
  • Loose caulking
  • Water intrusion
  • Dry rot
  • Deteriorated substrates
  • Loose siding, trim, or fixtures
  • Damaged screens or windows

Cleaning services may reveal hidden damage or pre-existing defects not visible prior to washing.

If unforeseen conditions requiring additional labor or repairs are discovered, the Client will be notified prior to any additional work being performed.

4. CHANGE ORDERS & ADDITIONAL WORK

Any additional services outside the original scope of work must be approved through a written Change Order or Additional Work Order (AWO) before work proceeds.

5. BILLING & PAYMENT TERMS

  • Deposit: 10% of contract amount or $1,000, whichever is less, if applicable
  • Progress billing may apply for larger projects
  • Final payment is due upon completion of services

Late Payments:

Invoices not paid within fourteen (14) days may accrue interest at 1.5% per month (18% annual percentage rate).

6. LIMITED WARRANTY

Rogall + Co. warrants that washing services will be performed in a professional and workmanlike manner.

Due to environmental conditions and the nature of exterior surfaces, no warranty is provided against the future return of dirt, mildew, algae, mold, staining, oxidation, or other environmental contaminants after cleaning.

Rogall + Co. is not responsible for damage resulting from:

  • Pre-existing substrate failure
  • Oxidized or deteriorated surfaces
  • Loose paint, stain, or caulking
  • Improperly sealed surfaces
  • Water intrusion behind siding, trim, windows, or doors
  • Defective building materials or installation
  • Acts of nature or environmental exposure

7. INSURANCE

Rogall + Co. maintains general liability and workers’ compensation insurance as required by law.

8. ATTORNEY’S FEES

In any legal action arising from this agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

9. HOLD HARMLESS

Client acknowledges that exterior cleaning services involve the use of water pressure and cleaning solutions which may expose pre-existing defects or weaknesses in surfaces, coatings, caulking, seals, or building materials.

Rogall + Co. shall not be held responsible for damage resulting from pre-existing conditions, defective installation, aged materials, or hidden deficiencies.

10. PROPERTY PHOTOGRAPHY & VIDEOGRAPHY RELEASE

Client grants Rogall + Co. permission to photograph and video project areas for documentation, training, marketing, and promotional purposes unless otherwise requested in writing.

No personally identifying information will be intentionally disclosed without consent.

11. DATA SHARING & PRIVACY

Rogall + Co. may utilize project-related information, including reports, communications, and documentation, for internal operational improvement, training, and technology development purposes.

Reasonable efforts will be made to anonymize personally identifiable information before any third-party processing or analysis.

12. THREE-DAY RIGHT TO CANCEL

Client may cancel this contract within three (3) business days after signing by delivering written notice to Rogall + Co.

If canceled within the permitted period, any payments made shall be refunded in accordance with California law.

13. INSURANCE PROCEEDS DISCLAIMER

Insurance proceeds received by Client related to the project may be applied toward payment under this agreement; however, Client remains fully responsible for payment of the total contract amount regardless of insurance coverage, claim approval, or disbursement amount.

7. Inspection Data Ownership & Use

Client acknowledges and agrees that all Inspection Data created by Rogall + Co. in the course of performing its services are and shall remain the sole and exclusive property of Rogall + Co.

  • Rogall grants Client a limited, non-exclusive, non-transferable license to use Inspection Data solely for purposes of evaluating and maintaining the Client’s property.

  • Client shall not sell, license, distribute, or otherwise transfer Inspection Data to any third party.

  • Rogall may, in its sole discretion, use, reproduce, modify, distribute, or share Inspection Data, in anonymized or aggregated form, with its affiliates or service providers for quality control, training, analytics, model development, or improvement of services, provided that no such use shall identify Client or Client’s property.

  • These rights survive completion or termination of services.

Discounts are applied solely under the following conditions:

  • Discounts or promotional percentages are applied at the time an estimate is signed.

  • Discounts are not applied retroactively and are not applied during billing unless already incorporated into the signed estimate.

  • Marketing materials, advertisements, or general communications that reference potential discount amounts are not guarantees of pricing and do not alter the terms of a finalized estimate.

All applied discounts will be clearly reflected in the written estimate provided to the Client prior to authorization of work.
